Draft status. Last updated: 20 October 2026. Vendor registration is an application only and does not create an agency, partnership, employment relationship, exclusive arrangement or right to receive requirements.
1. Registration and approval
Vendor applicants must provide accurate company, contact, capability and compliance information. Clarionteq may verify the business, request references or documents, decline registration, limit access or suspend an approved vendor where reasonably necessary for compliance, service quality, security or client requirements. Access to roles and candidate submission is activated only after written approval and account setup.
2. Candidate submissions
Submit candidates only against requirements the vendor is authorized to access. Obtain candidate permission before sharing any CV or personal data. Disclose the candidate's source, any prior submissions, current employment or payroll arrangement relevant to the role, notice period and availability truthfully. Do not resubmit the same candidate through another identity or channel to bypass ownership checks. Do not contact the end client directly unless expressly authorized.
3. Candidate ownership and non-circumvention
Submission does not automatically establish exclusive ownership. Clarionteq may consider evidence, timing, previous submissions, candidate consent, client rules and existing relationships. Vendors must not use information obtained through NexRefra to circumvent Clarionteq or the relevant commercial arrangement. Any non-circumvention, exclusivity or ownership period must be stated in a separately signed agreement with defined scope and duration; this draft does not create an unlimited restraint.
4. Payroll, employment and compliance
For C2C or contract roles, the parties must document the actual contracting and payroll chain before deployment. The vendor or other employing/payroll entity remains responsible for obligations allocated to it by law and the signed agreement, including employment documentation, wages, statutory contributions, tax, work authorization, insurance and workplace compliance. No candidate should begin work until the authorized parties have agreed in writing who employs, pays, supervises and bears each obligation. NexRefra registration alone does not determine payroll responsibility.
5. Commercial terms, invoices and replacement
Fees, payment triggers, invoice requirements, taxes, credit periods, replacement guarantees, exclusions and candidate withdrawal/cancellation rules must be specified in a signed vendor agreement or role-specific written terms. A replacement guarantee applies only if expressly agreed, including its duration, qualifying event, exclusions and remedy. Do not infer a guarantee from a registration form or conversation. Clarionteq may verify client fee collection and supporting records before paying vendor fees where the agreement makes collection a condition.
6. Confidentiality and data security
Use candidate and client information solely for authorized recruitment. Restrict access to personnel with a need to know, use reasonable security safeguards, avoid insecure sharing, report suspected incidents promptly, do not retain or reuse CVs for unrelated roles without authority, and return/delete information when required by the agreement or applicable law. Capability decks and company documents are for verification and must not contain candidate CVs or unnecessary personal data.
7. Representations and indemnity
The vendor represents that it has authority to register, its details are accurate, and its submissions are lawful and authorized. To the extent permitted by law and under the signed agreement, the vendor is responsible for claims arising from its unauthorized data sharing, false statements, infringement, unlawful employment/payroll practices or material breach. Liability and indemnity allocation should be finalized in the signed vendor agreement and cannot override mandatory law.
8. Suspension and termination
Clarionteq may suspend access for suspected fraud, consent issues, unauthorized client contact, data misuse, security risks or material breach. Where appropriate and lawful, the vendor will receive notice and a chance to respond or cure. On termination, access ceases and confidential information must be returned or deleted subject to lawful retention. Accrued payment rights and duties under signed agreements survive as specified there.
9. Separate written agreement and contact
These terms are a baseline for portal use and do not replace an executed vendor agreement, MSA, NDA, data-processing addendum or role-specific commercial schedule. If documents conflict, the signed agreement controls to the extent it expressly addresses the conflict. Contact info@clarionteq.com.
